1. Acceptance of terms
By accessing or using the Neeru Finance interface (the "Interface"), or by interacting with the Neeru Finance smart contracts deployed on the Celo blockchain (the "Protocol"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Interface and do not interact with the Protocol.
2. Description of the Protocol
Neeru Finance is a system of smart contracts on the Celo blockchain that lets users deposit COPm (a Colombian peso stablecoin) into fixed-income vaults and earn target interest rates. Positions are recorded on-chain.
The Protocol supports four vaults: Flexible (no lock), Fixed 30 days, Fixed 60 days, and Fixed 90 days, each with distinct target rates. Interest accrues daily with compound capitalization and is paid from a dedicated on-chain interest pool.
3. How you interact
You interact with the Protocol's smart contracts on Celo through your own wallet. You control your wallet keys at all times. Deposits, position closures, and renewals require transactions that you sign yourself.
The record of your on-chain position lives in the smart contracts. Protocol Contributors have no custody over your on-chain position.
4. Not financial advice
Nothing on this Interface or in the Protocol constitutes financial, investment, legal, or tax advice. Information provided (including interest rates, yields, and fund metrics) is for informational purposes only. Consult your own advisors before making any financial decision.
5. Target rates, not guaranteed returns
Interest rates displayed on the Interface are target rates. They are not promises, guarantees, or commitments of any kind. Actual performance may differ from target rates due to market conditions, governance decisions, liquidity constraints, or smart contract behavior.
Governance can adjust rates at any time through the multisig. Rate changes are not retroactive to existing positions.
6. Eligibility
By using the Interface, you represent that you are of legal age in your jurisdiction and that your use of the Protocol does not violate any applicable law or regulation. You are solely responsible for compliance with all laws that apply to your use of the Protocol.
The Interface is not directed at, nor intended for use by, any person in any jurisdiction where such use would be contrary to local law or regulation, or where we would be subject to any licensing or registration requirement.
7. Additional considerations
You acknowledge and accept the considerations described in how we protect your deposit, which are incorporated by reference into these Terms.
8. Operational pauses and transaction finality
There are two limited pause functions, governed by a 48-hour delay: a deposits pause (suspends new deposits and renewals of flexible positions) and a renewals pause (suspends the automated renewal of matured fixed positions into a new term). No pause function can prevent users from closing their own positions.
Transactions executed on-chain are final and irreversible. Protocol Contributors cannot reverse, cancel, or modify any on-chain transaction.
9. No warranty
The Protocol and the Interface are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
Protocol Contributors do not warrant that the Protocol or the Interface will be uninterrupted, error-free, secure, or free of viruses, bugs, or other harmful components.
10. Limitation of liability
To the maximum extent permitted by law, Protocol Contributors shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with your use of the Protocol or the Interface, regardless of the theory of liability.
11. Indemnification
You agree to indemnify and hold harmless Protocol Contributors from any claim, liability, cost, or expense (including legal fees) arising out of your use of the Protocol or the Interface, or your breach of these Terms.
12. Interface vs. Smart Contracts
This Interface (neerufinance.xyz) is the primary front-end for the Protocol's smart contracts on Celo. Protocol Contributors may modify, suspend, or discontinue the Interface at any time without prior notice.
Discontinuing the Interface does not by itself terminate the smart contracts. Existing positions remain accessible via direct on-chain interaction.
13. Changes to the Terms
Protocol Contributors reserve the right to modify these Terms at any time. Changes take effect when published on this Interface. Your continued use of the Interface after changes constitutes acceptance of the updated Terms.
